GENERAL TERMS AND CONDITIONS OF CONTRACTING
1. CONTRACTING PARTIES AND GENERAL INFORMATION
These General Terms and Conditions of Contracting (hereinafter, "GTC") regulate the contractual relationship between GLOBAL INTERNANCINAL REWORD S.L. (hereinafter, "REWORD S.L.") and the different types of platform users: Companies, Clients and Affiliates.
Acceptance of these GTC is an essential step to be able to use the Platform services.
2. SPECIFIC CONDITIONS FOR "CLIENT" USERS
2.1 Registration:
To leave reviews and access promotions, the Client must register by providing true and current data. The Client is responsible for safeguarding their password.
2.2 Publishing reviews:
The Client commits to ensuring their reviews are truthful, based on real experience, and do not contain offensive, defamatory or illegal language.
2.3 Review management:
The Client accepts and acknowledges that REWORD S.L., on behalf of the contracting Company, may publish positive reviews on third-party platforms (Google, TripAdvisor, etc.). Negative reviews will be managed internally on the Platform, and the Company may contact the Client through it to offer compensations such as bonuses or discounts, among others, in order to improve their experience and potentially invite them to update their review.
2.4 Bonuses and discounts:
Bonuses, discounts and loyalty cards are offered and fully funded by Companies. REWORD S.L. acts as a mere technological intermediary for their management and redemption, assuming no responsibility for their fulfillment.
3. SPECIFIC CONDITIONS FOR "COMPANY" USERS
3.1 Service object:
REWORD S.L. will provide the Company, in exchange for a monthly fee, access to the Platform to manage their profile, capture and respond to reviews, and use loyalty tools. This includes creating a basic website, a QR code and NFC cards (5 initial free ones, additional ones with cost).
3.2 Payment:
Payment of the monthly fee will be made through the Stripe payment gateway. Non-payment may result in service suspension.
3.3 Company obligations:
The Company is solely responsible for funding and fulfilling the prizes, bonuses or discounts it offers to Clients through the Platform.
3.4 Duration and cancellation:
The contract will have a monthly duration, automatically renewable. The Company may request cancellation at any time, with effects from the next billing period.
4. SPECIFIC CONDITIONS FOR "AFFILIATE" USERS
4.1 Relationship:
The Affiliate acts as an independent professional, with no employment relationship with REWORD S.L.
4.2 Commission:
The Affiliate will receive a 50% commission on the value of the monthly fee paid by each Company acquired through their affiliate link, during the first two months of service of said Company.
4.3 Payment condition:
If the acquired Company cancels before completing the first two months, the Affiliate will not receive the commission corresponding to the month in which the cancellation occurs or subsequent months.
4.4 Tools:
The Affiliate will have a panel on the Platform to check their acquisitions and generated commissions.
5. USE OF ARTIFICIAL INTELLIGENCE
The Platform uses Artificial Intelligence tools to assist Companies in responding to reviews. The Company is responsible for reviewing and approving responses generated by AI before publication.
6. EXCLUSION OF LIABILITY
REWORD S.L. is a technological intermediary and is not responsible for disputes that may arise between Clients and Companies, nor between Companies and Affiliates. Its responsibility is limited to ensuring the correct technical functioning of the Platform.
7. MODIFICATION OF THE GTC
REWORD S.L. reserves the right to modify these GTC, notifying users with reasonable notice. It will be understood that the user accepts the new conditions if they continue using the Platform after notification.
8. APPLICABLE LAW AND JURISDICTION
These GTC are governed by Spanish law. For any conflict, the parties submit to the Courts and Tribunals of the domicile of REWORD S.L., unless the law establishes a different imperative jurisdiction as in the case of consumers.
